APPLICABILITY OF THE GENERAL SALES CONDITIONS

These general terms and conditions apply to every order placed with Bublii, a division of UNITED PLANTATION LIMITED, subject to the special conditions that apply to orders placed via the internet.
UNITED PLANTATION LIMITED reserves the right to change these general terms and conditions of sale by publishing a new version. However, the conditions that applied at the time of placing the order continue to apply to pending orders. 

ORDER & PRICES

An order, including those listed by agents or representatives, is only binding when the online payment is completed.
All prices are VAT inclusive.
The indicated prices can always change. If an order is placed, the price applicable at the time of order applies to this sale.

DELIVERY AND SHIPPING CONDITIONS

All our goods are delivered, shipped, or transported at the customer's risk, even when the shipment is made carriage paid.
UNITED PLANTATION LIMITED makes every effort to deliver orders within the usual period from 2 to 5 working days, counting from receipt of the order, insofar as the order falls within the limit of available stock.
The aforementioned delivery times, which are indicated on the occasion of the order, are purely indicative. Delay in delivery for any reason cannot give rise to compensation and is not grounds for refusal to supply or terminate the agreement and does not release the customer from their obligation.

PROPERTY RESERVATION

By way of derogation from Article 1583 of the Civil Code, the goods sold or delivered remain the exclusive property of UNITED PLANTATION LIMITED until full payment of the principal, interest, and costs. Despite this retention of title, the risk of loss or damage passes to the customer from the possession of the goods.
As long as the retention of title exists, the goods may neither be given in security nor pledged. The customer must immediately warn in case of judicial attachment of the goods.
The customer may sell the goods within the framework of their normal business operations. They already transfer the claims obtained from this to UNITED PLANTATION LIMITED until full payment of their claim. UNITED PLANTATION LIMITED accepts this assignment.

PROVISIONS REGARDING RECEIPT, COMPLAINTS & LIABILITY

The customer must ensure that the goods can be delivered by UNITED PLANTATION LIMITED in a normal way and, among other things, ensure good accessibility of the delivery location. If this is not met, the customer is obliged to compensate all damage to UNITED PLANTATION LIMITED.
The customer must immediately check the delivered goods.
In case of visible defects in the goods, the customer must inform UNITED PLANTATION LIMITED in writing within a period of 3 working days, counting from receipt of the goods and this by registered mail, in order to avoid disputes regarding the aforementioned protest period. After that period, UNITED PLANTATION LIMITED will only be responsible for hidden defects that make the case unsuitable for the use for which they are intended, and this insofar as UNITED PLANTATION LIMITED knew or should have known the defects. Claims for hidden defects must be brought before the competent court on pain of forfeiture within 30 days of the finding of the defect.
In no case does the formulation of a complaint suspend the customer's payment obligation.
In case of visible defects, UNITED PLANTATION LIMITED will replace the products or the customer will receive a refund of the invoice amount. For hidden defects or any other error, any compensation from UNITED PLANTATION LIMITED will always be limited to a refund of the price it was allowed to receive. Under no circumstances can UNITED PLANTATION LIMITED be held liable for any indirect damage.

RETURNS

Only goods returned in perfect condition, in their original packaging, unopened and accompanied by proof of payment will be accepted for return. Only UNITED PLANTATION LIMITED will assess whether the conditions for return are met and decide on repayment. In this case, UNITED PLANTATION LIMITED will only reimburse the invoice amount of the goods. The costs for the return shipment are for the account of the customer.

INVOICING

The order is billed in accordance with the VAT rate that is valid on the day of order.
The customer pays a fixed contribution towards the shipping and delivery costs of the goods, as outlined under the shipping section.

PAYMENT OF THE GOODS

Orders must be paid online.
Invoices for the goods are sent or delivered to the billing address, if this differs from the delivery address, and must be paid within 15 days after the invoice date.
In the event of default on all or part of the price at maturity, the customer will from this moment on owe an annual default interest of 12% by operation of law and without notice of default, at least the interest as provided in Article 5 of the Law 02-08-2002; as well as UNITED PLANTATION LIMITED has, on top of the aforementioned interest, in accordance with Article 6 of the Law 02-08-2002, entitled to a flat-rate compensation of 10% of the principal, with a minimum of ₹1500.
Any default entails the claimability of the outstanding invoices and entitles UNITED PLANTATION LIMITED to either suspend any future deliveries or terminate the agreement after notice of default, without prejudice to the right to compensation.

CONTRACTUAL BREACH

If the customer fails to fulfill their contractual obligations, UNITED PLANTATION LIMITED has the right, after notice of default, to either suspend its obligations or dissolve the contract without judicial intervention, if no or no useful action is taken on the notice of default within 8 working days, without prejudice to the right to compensation.

COMPETENT COURT AND APPLICABLE LAW

Only Indian law applies.
Only the courts of Coimbatore, Tamil Nadu, India, have jurisdiction.

PROTECTION OF DATA

UNITED PLANTATION LIMITED does not sell customers' personal data to third parties and treats it strictly in accordance with applicable law and its confidentiality policy.
